Access to this affiliate program is granted at the discretion of WSB. Continued participation in the Affiliate program is contingent upon the Affiliate’s strict adherence to the terms outlined herein.

 

By enrolling in the program, you affirm that all the information provided is current and accurate, that you are at least 18 years old and legally capable of entering into a binding contract, and that you are not aware of any legal, commercial, contractual, or other restrictions that would prevent your participation in the program as outlined below.

 

• Registering of Customers:

“Customers” refers to individuals who become part of WSB's database after arriving at our website through your affiliate link/code.

 

WSB will be responsible for tracking customer registrations, deposits, withdrawals, betting activities, as well as their Know Your Customer (KYC) and banking details. WSB retains the right to reject any recruited customers when deemed necessary.

 

When a customer opens an account with us, they become a WSB customer, subject to all applicable WSB terms and conditions. Furthermore, all information pertaining to these customers from the registration date onward is the exclusive property of World Sports Betting, even upon termination of this Agreement. You acknowledge that you have no ownership rights over this Customer information, except for the purposes of participating in the Affiliate Program under the terms and conditions of this Agreement.

 

• Tracking of Customers:

WSB will monitor all customer transactions originating from our website(s), and the affiliate will have access to a summarized transaction report through our affiliate portal. This report will not contain any customer's personal identity or information.

 

The affiliate must ensure that all recruited customers are correctly registered using their designated affiliate tag/link. Any customer not registered properly with the appropriate affiliate tag/link or cannot be associated with the affiliate link/tag will not be included in the end-of-month commission calculations.

 

The Affiliate acknowledges that the commission amount calculated at the end of the month, based on the formula outlined in Section 3.3, will be considered final.

 

• Payment of Commission:

The affiliate shall receive a referral commission, as detailed in clause 3, which will be calculated using the commission percentage applied to the net revenue generated by your customer database on WSB's website throughout each calendar month.

 

The commission amount will be determined by aggregating all transactions made by your entire customer base during the month. You can monitor this figure throughout the month via our affiliate website."

 

• Modification:

WSB retains the authority to modify the terms and conditions outlined in this agreement at any point in time. These modifications will be conveyed directly to you or via the platform. If you find any such alteration unacceptable, it will lead to the termination of this agreement. Your continued engagement in the affiliate program following such notification will be considered as your acceptance of the revised terms and conditions.

 

• Data Protection:

WSB shall adhere to all relevant laws and regulations concerning the handling of personal data. The terms 'processing' and 'personal information,' as used within this agreement, carry the definitions as outlined in section 1 of the Protection of Personal Information Act, 2013 ('POPIA'). Consequently, all information accessible on WSB's affiliate website and other platforms will solely consist of aggregated data, with no access to actual personal information as defined by law, and there will be no disclosure of a customer's identity at any point.

 

2. Affiliate General Rights & Obligations:

 

2.1 Prohibited Marketing Activities (Spam, Self-Exclusions & General Consent):  

1. Spam: Any engagement in spamming activities will lead to an immediate termination of this agreement.
2. Marketing Communications Consent: You must obtain our prior written consent before sending any marketing communications related to WSB and/or its affiliate program.
3. POPIA Compliance: Furthermore, you are required to ensure that all approved communications or campaigns targeting WSB traffic comply with the rules and regulations set forth in POPIA. Failure to comply with POPIA will result in your suspension from the Affiliate program, and any outstanding payments will be considered forfeited.
4. Self-Excluded Customers: You are prohibited from actively targeting or communicating with self-excluded customers.
5. Costs Incurred: In the event that WSB incurs any expenses related to spam or unauthorized electronic marketing sent by you or any representatives acting on your behalf, these costs will be deducted from any Referral Commission owed to you under this Agreement. If our costs are not fully covered by the Referral Commission owed to you, we reserve the right to offset the remaining amount from future Referral Commission payments or pursue alternative means of obtaining payment from you.

 

2.2 Customers Unsuitable for Affiliation and Fraudulent Activity:

WSB maintains the discretion to reject potential new customers and, when deemed essential in accordance with WSB's terms and conditions, to implement measures on any customer's account. Furthermore, WSB possesses the authority to assess and respond to any activity within an affiliate's customer base in cases where fraudulent activities are identified.

 

 

2.3 Incentivized Traffic:

By entering into this agreement, the affiliate commits not to encourage customers to register at WSB by offering them a share of the referral commission at any point.

 

2.4 Domain and Brand Name Registration, and Keyword Bidding:

You consent not to register (or seek registration for) any domain or company name that closely resembles those owned by the WSB Group. Similarly, you commit not to acquire or register any keywords or search terms that are identical or bear a significant similarity to those utilized by the WSB Group in their naming conventions and intellectual property, including meta-tag keywords.

 

2.5 Application Approval:

Upon approving your application for enrollment in the Affiliate program, we provide you with a non-exclusive, non-transferable right to direct Customers to any of the WSB Website(s) in accordance with the terms and conditions specified in this Agreement. It's important to note that this Agreement does not confer upon you any exclusive rights or privileges. We reserve the right to engage and collaborate with others, at our discretion, to provide services of a similar nature. Consequently, you are not entitled to claim Referral Commission or any other form of compensation for business acquired through individuals or entities other than yourself and those associated with your affiliate code/link/tag.

 

2.6 Approved Material:

Affiliates may only used approved promotional material and may not alter such material. Further to this, affiliates are not able to create their own affiliate accounts.

 

2.7 Account Opening:

Affiliates are not allowed to open accounts on behalf of their customers. All accounts opened are subject to World Sports Betting’s standard terms and conditions.

 

 

2.8 License for Use of Marks:

We hereby grant you a revocable, non-exclusive, and non-transferable license, valid for the duration of this Agreement, to utilize our trade name, trademarks, service marks, logos, and any other approved designations ("Marks") solely in connection with the display of the Approved Promotional Material on your website. This license is not eligible for sub-licensing, assignment, or any other form of transfer by you. Your usage rights for the Marks are exclusively derived from this Agreement. Apart from the rights explicitly provided herein, no rights, titles, or interests of any kind are conferred upon you with regard to the Marks or any of our other intellectual property, whether implied, by estoppel, reliance, or any other means. In this context, you acknowledge that all use of the Marks shall be for our benefit.

All rights pertaining to the Marks or any of our other intellectual property rights that are not specifically granted herein are reserved by us. You are prohibited from asserting, or aiding a third party in asserting, the invalidity, unenforceability, or contesting the ownership of the Marks in any legal action or proceeding, regardless of its nature. Furthermore, you must not take any action, or fail to take any action, that may harm our rights in the Marks or any of our other intellectual property, make them generic, or otherwise diminish their validity or associated goodwill and reputation.

You also agree to indemnify WSB from any claims and liabilities of any nature arising from your use of the Marks. It is your responsibility to promptly notify us if you become aware of any third-party misuse of the Marks or any of our other intellectual property.

 

2.9 Confidential Information:

Any information to which an affiliate gains access concerning WSB and its operational procedures must be treated as confidential and may not be disclosed to any third parties or external entities without obtaining prior written consent. This duty of confidentiality remains in effect even after the termination of this agreement.

 

2.10 Data Protection:

You are required to ensure strict adherence to all applicable laws and regulations governing the handling of personal information, whether performed by you, your personnel, or third parties acting on your behalf as part of your obligations under this Agreement. This includes compliance with POPIA, even if it is not in effect when you join the Affiliate Program. Your responsibility extends to the management of your website (as described in clause 2.11) and the presentation of privacy notices on your website. We strongly advise you to take measures to inform your website users that:

 

(i) Your website contains links to affiliate or third-party websites, plug-ins, and applications.

(ii) Clicking on these links or enabling these connections may enable third parties to process the user's information.

(iii) Users are encouraged to review the privacy notices of the websites they visit.

 

You hereby agree to indemnify and protect WSB, along with our directors, employees, and representatives, against any and all claims, liabilities, losses, damages, and associated costs (including legal fees) arising directly or indirectly from your failure to comply with the provisions of this clause 2.16.

 

2.11 Consumer Protection:

You recognize that the promotional and advertising material you employ may serve the interests of consumers, as defined in the Consumer Protection Act, 2008 ("CPA"). You are committed to adhering to all relevant obligations outlined in the CPA within the scope of this agreement. In addition, you agree to indemnify us against any losses resulting from your non-compliance with this clause and your obligations under the CPA.

 

2.12 Adherence to Legal Requirements:

You are responsible for ensuring full compliance with all relevant laws, which encompass, but are not limited to, all pertinent legislation concerning bribery and anti-corruption.

 

2.13 Breach:

This agreement will be terminated without recourse should there be any breach in the terms and conditions contained within this agreement.

3. Referral Commission:

 

3.1 Modification of Referral Structure and Inactive Accounts:

We retain the authority to modify the default commission structure, including alterations to the commission percentage and the method of calculation, at any time. In such cases, we will provide you with a written notice with a 30-calendar-day lead time. If you do not agree with these modifications, you have the option to terminate this agreement by notifying us in writing. Furthermore, in instances where a customer’s account remains inactive for a continuous period of twelve (12) months, WSB reserves the right to exclude such accounts from the commission calculations.

Your Full commission Structure will be shared upon signing of the Affiliate sign up contract.

3.2 Disbursement of Referral Commission:

Referral commissions for South African affiliates will be remitted to you by the 15th of the current month for the preceding month. For foreign affiliates, payments may require a slightly extended processing time, contingent upon exchange control regulations and approval from the South African Reserve Bank. Please note that all payments are determined based on WSB's monitoring of relevant activities. All determinations concerning the tracking and computation of payments will be made solely at our discretion.

 

3.3 Exceptions to Payment:

Please be aware that the payment of referral commissions is contingent upon the following exclusions, which have the potential to restrict, diminish, or even obstruct such payments:

 

• Customers who do not meet suitability criteria
• Outstanding debts deemed uncollectible
• Traffic incentivization
• Transactions deemed fraudulent
• Unlawful marketing practices, including spamming
• Unauthorized brand bidding
• Any other violations of the terms within this contract

 

4. Term & Termination, Unsuitable Sites & Reactivation:

 

• Duration and Termination:

This agreement will initiate upon your approval as an affiliate under the Affiliate program and will persist until either party communicates its intention to terminate the agreement in writing, which may include email correspondence. Once either party receives such written notification, this agreement will be promptly concluded. Termination can be initiated by either party at their discretion, with or without specifying a reason.

Upon the agreement's termination, the affiliate shall promptly eliminate all materials and links related to WSB from their site or platform. All rights and licenses granted within this agreement will instantaneously cease.

 

• Inappropriate Websites:

We hold the right to terminate this Agreement if, at our sole discretion, we ascertain that your website is inappropriate. Inappropriate websites encompass, but are not limited to those that:

• Target anyone under the age of 18.
• Display explicit content or illegal sexual content.
• Encourage violence.
• Promote discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
• Advocate for illegal activities.
• Infringe upon intellectual property rights.
• Violate any pertinent advertising regulations or ethical codes of conduct.

 

• Period of Inactivity:

If no new customers are registered under your affiliate tag/code for a continuous period of six (6) months, WSB reserves the right to adjust your earnings to a fixed rate of 15% until you bring in new customers. If there are no new customer registrations for a consecutive period of twelve (12) months, WSB reserves the right to terminate this agreement.

 

• Reactivation:

Reactivated client accounts (previously closed or inactive accounts that are re-opened) will not be credited to the affiliate if they have been closed or inactive for less than twelve (12) months. An affiliate may submit a written request to WSB to track a specific reactivated player (who has been inactive or closed for less than twelve (12) months) for commission revenue, prior to the account re-registration of the related player. Any such exemption will be granted at the sole discretion of WSB, and it must be provided in writing.

 

• Duplicate Accounts and Self Referrals:

You may not have more than one affiliate account without prior written consent, nor will you be able to earn commission on your own betting account.

 

4.4 Nature of the Relationship:

You operate as an independent contractor, and this Agreement does not establish a partnership, joint venture, agency, franchise, sales representation, or employment relationship between us. You are prohibited from making any statements, whether on your website or through any other means, that would contradict the provisions of this Agreement. You are not authorized to make any claims, representations, or warranties on our behalf, and you do not possess the authority to impose obligations upon us.

 

• Assessment:

You confirm that you have thoroughly reviewed this Agreement and are in agreement with all its terms and conditions. You are aware that we may, at our discretion, seek customer referrals from other third parties, directly or indirectly, under terms that may differ from those outlined in this Agreement. Additionally, we may operate or engage with websites that are akin to or compete with your website. You have autonomously assessed the appeal of participating in the Affiliate Program and are not basing your decision on any representations, warranties, or statements other than those expressly outlined in this Agreement.

 

• Applicable Law:

This Agreement will be governed by the laws of South Africa, without regard to the principles governing the choice of law. Any legal action related to this Agreement must be initiated in South Africa, and you hereby grant your unreserved consent to the jurisdiction of its courts.

 

• Non-Waiver of Rights:

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. No modifications, additions, deletions or interlineations of this Agreement are permitted or will be recognized by us. None of our employees or agents has any authority to make or to agree to any alterations or modifications to this Agreement or its terms.
